All service engagements are governed by a separate written agreement, statement of work (SOW), or proposal that specifies scope, deliverables, timelines, fees, and responsibilities. These Terms apply in addition to any signed agreement; in case of conflict, the signed agreement prevails.

All content on this website — including text, graphics, logos, code, images, and trademarks — is owned by or licensed to TechTeam Philippines and protected by copyright and intellectual property laws.

Client deliverables

Ownership of work product created under a specific engagement is transferred to the client upon full payment, unless otherwise stated in the signed agreement. TechTeam Philippines retains ownership of pre-existing tools, frameworks, and reusable components.

5. Fees and Payment

Fees for services are stated in individual proposals or agreements. Unless otherwise specified:

• Invoices are payable within 15 days of receipt.
• Late payments may incur interest and may result in work being paused.
• All fees are exclusive of applicable taxes (including VAT).

6. Confidentiality

Both parties agree to keep confidential any non-public information shared during an engagement. This obligation survives the termination of any agreement.

7. Warranties and Disclaimers

We provide services with reasonable care and skill in line with industry standards. However, the website and our services are provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement, except as required by law.

8. Limitation of Liability

To the maximum extent permitted by law, TechTeam Philippines shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our website or services. Our total liability for any claim shall not exceed the fees paid to us in the three (3) months preceding the claim.

9. Third-Party Services

Our deliverables may incorporate third-party services (hosting, APIs, libraries). We are not responsible for outages, changes, or discontinuation of third-party services.

10. Termination

Either party may terminate an engagement in accordance with the terms of the signed agreement. Upon termination, the client shall pay for all work completed up to the termination date.

11. Governing Law

These Terms are governed by the laws of the Republic of the Philippines. Any disputes shall be resolved in the courts of Metro Manila.

12. Changes to Terms

We may update these Terms from time to time. Continued use of our site or services after changes means you accept the updated Terms.
